Customer terms

These terms are an agreement between Millennia Media LLC, doing business as Basin Powered Dispatch ("Basin Powered Dispatch", "we", "us"), and the company that signs up to use Basin Powered Dispatch ("Customer", "you"). The person who accepts them confirms they're allowed to accept for the company. If you've signed a separate written agreement with us, that agreement wins where the two differ.
1. The service
Basin Powered Dispatch is dispatch software: job intake, offers to drivers, a driver app, run tickets, documents, reports, and messages by app notification, text and email. We may improve or change features over time. Some features are labeled early or beta. They may change, and they're provided as-is.
2. Your accounts and people
- You decide who gets access: owners, supervisors, drivers, and the customers you let order from you. You're responsible for what happens under your company's logins.
- Keep logins private, turn off people who leave (the Team settings make that one tap), and tell us right away if you think an account was misused.
- The information you put in has to be accurate, including driver phone numbers, documents, expiration dates and job details.
3. Text messages and consent: your responsibility
Basin Powered Dispatch sends texts on your behalf, to the drivers and customers you add. By using texting, you agree that:
- You'll only add a phone number, or mark a driver as agreeing to texts, when that person has actually agreed to get job texts from your company. You'll keep a record of how they agreed.
- You won't use Basin Powered Dispatch for marketing texts, or to text anyone who hasn't agreed.
- You'll honor opt-outs. Basin Powered Dispatch stops texts automatically when someone replies STOP. You won't re-add or re-mark someone who opted out unless they agree again.
- You'll follow the laws that apply to your messages, including the Telephone Consumer Protection Act (TCPA), state texting laws, and carrier rules.
We may pause texting for your company if we see messages going to people who didn't agree, high opt-out or complaint rates, or a carrier tells us there's a problem.
4. Dispatch decisions and safety stay with you
Basin Powered Dispatch is a tool that helps you dispatch. You and your drivers are responsible for operating safely and legally. That includes driver qualification, licensing, medical cards and endorsements, hours of service where they apply, vehicle condition, site safety, and what happens on the road and on location. Drive times, distances, ETAs, document reminders, job-length estimates and activity logs are estimates and helpers. They aren't a guarantee, a legal log, or a substitute for your own judgment and compliance programs.
5. Your data
- You own your data: your jobs, tickets, drivers, customers, documents and messages. You give us permission to store and process it only to run Basin Powered Dispatch for you, support you, keep it secure, and improve the service.
- We may use de-identified, combined statistics that don't identify you, your drivers or your customers (for example, average time to fill a job) to improve Basin Powered Dispatch.
- You can export your tickets and reports at any time. If you leave, ask and we'll delete your company's data within 30 days, except what we must keep by law.
- Our privacy policy explains how we handle personal information. We never sell it, and we never share phone numbers or text consent for marketing.
6. Acceptable use
Don't use Basin Powered Dispatch to break the law, send spam, harass anyone, upload anything you don't have the right to share, try to get into other companies' data, overload or attack the service, or resell it without our written OK.
7. Fees
Fees are whatever we've agreed with you in writing or on your order. During a free pilot or trial there's no charge. We'll give you at least 30 days' notice before any new charge starts, and you can stop using Basin Powered Dispatch instead. Text-message and carrier costs may be billed as agreed.
8. Ending the agreement
You can stop using Basin Powered Dispatch at any time. We can suspend or end your access if you seriously break these terms (sections 3 and 6 especially), don't pay agreed fees, or if we stop offering the service. When we can, we'll give notice and time to export your data first.
9. Warranty disclaimer
We work hard to keep Basin Powered Dispatch running and accurate. But the service is provided "as is" and "as available", without warranties of any kind, to the fullest extent the law allows. Messages, notifications and location depend on phones, carriers and networks we don't control, and may be delayed or not delivered.
10. Limit of liability
To the fullest extent the law allows, neither side is liable for indirect, incidental, special or consequential damages, or for lost profits or revenue. Basin Powered Dispatch's total liability for any claim about the service is limited to the greater of the fees you paid us in the 12 months before the claim, or $100. These limits don't apply to your obligations in sections 3 and 11.
11. You cover us for your messages and operations
You'll defend and cover Basin Powered Dispatch against claims, fines and costs (including reasonable attorney fees) that come from:
- texts or messages sent to people you added without their consent, or otherwise breaking section 3
- your dispatch, driving and on-site operations
- data you put into Basin Powered Dispatch that you didn't have the right to use
12. Other terms
- Missouri law governs these terms, and disputes go to the state or federal courts in Missouri.
- We may update these terms. For changes that matter, we'll show the new version in the app or by email before it takes effect. Continuing to use Basin Powered Dispatch after that means you accept it.
- If one part of these terms can't be enforced, the rest still applies.
- Neither side can transfer this agreement without the other's OK, except as part of a merger or sale of the business. If Basin Powered Dispatch moves to a new company of ours, these terms move with it.
